Terms of Service

The agreement between your organization and Honey House Tech for use of WOSP.

PLEASE READ CAREFULLY. These Terms of Service (the "Agreement") govern access to and use of WOSP (Workspace Operations & Security Portal) and related hosted services offered by Honey House Tech ("Honey House", "we", "us"). By creating an account, completing checkout, clicking to accept, or using WOSP, you ("Customer") agree to this Agreement.

1. The service

WOSP is a hosted partner portal for MSPs who manage Google Workspace tenants. Each paying Customer receives a dedicated instance. The web application, REST API, and MCP server are provided as a subscription service. Documentation is at docs.wosp.app.

WOSP is currently in invite-only beta. Features may change, break, or be withdrawn. We may impose usage limits during beta.

2. Definitions

  • Customer Data means data you or your Users submit to WOSP, including Google Workspace metadata, configuration, and credentials needed to operate the service on your behalf.
  • Documentation means our then-current product documentation.
  • Products means WOSP and any related hosted components we make available under your subscription.
  • Users means your employees, contractors, and client contacts you authorize to access your instance.

3. Access and license

Subject to payment of applicable fees and compliance with this Agreement, we grant Customer a non-exclusive, non-transferable right to access and use the Products for internal business purposes during the subscription term. Customer is responsible for all activity under its accounts and for configuring roles and tenant scoping appropriately.

4. Customer data and privacy

Customer retains ownership of Customer Data. Customer grants us a license to use Customer Data to provide, secure, support, and improve the Products, comply with law, and as described in our Privacy Policy and Data Processing Addendum (DPA). Customer is responsible for obtaining all rights and notices required to submit Customer Data and to connect Google Workspace tenants.

We maintain administrative, physical, and technical safeguards designed to protect Customer Data. Those safeguards are described at a high level on our Security page. They do not constitute a guarantee that unauthorized access, loss, or disclosure will never occur.

5. Customer obligations

  • Provide accurate account and billing information.
  • Keep credentials confidential and notify us promptly if they are compromised.
  • Use WOSP only in compliance with law, Google Workspace terms, and this Agreement.
  • Not reverse engineer, resell, or make the Products available to third parties except as permitted for your MSP clients through intended features (for example, scoped client logins).
  • Not use WOSP for high-risk activities where failure could cause death, personal injury, or environmental damage.
  • Maintain your own backups and business continuity plans. WOSP is an operations tool, not an archive of record.

6. Fees, billing, and cancellation

Subscriptions are month to month. There are no annual contracts unless we agree otherwise in a separate signed order. Fees are due as quoted at checkout or in your order. Unless stated otherwise, fees are non-refundable except where required by law or expressly provided in this Agreement.

Customer may cancel through the billing portal or by contacting us. Cancellation stops future charges; access continues through the end of the paid period unless we suspend earlier for non-payment or breach.

Pricing changes. We may change fees, pricing models, plan packages, included usage, or billing structure at any time. For paid subscriptions, we will give at least thirty (30) days' notice by email or in-product notice before a change takes effect. Changes apply beginning with the next billing period after that notice period (or sooner if you agree in writing). We will not retroactively increase fees already paid for the then-current billing period. If you do not accept a pricing change, you may cancel before the effective date. Continued use or payment after the effective date constitutes acceptance.

7. Beta and evaluation use

If you use WOSP on a trial, beta, or evaluation basis, the Products are provided as is, without warranties, support commitments, or indemnities, except where law requires otherwise. Beta Products may be discontinued at any time.

8. Warranties and disclaimers

Except as stated below, the Products are provided "AS IS" and "AS AVAILABLE", with all faults, and without warranties of any kind.

We represent that the Products will materially conform to the Documentation during the subscription term. If they do not, your exclusive remedy is for us to use reasonable efforts to correct the non-conformance or, if we cannot, to refund prepaid fees for the affected portion of the term after termination of that portion.

WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT. We do not warrant uninterrupted or error-free operation, that security findings are complete, or that the Products will meet every Customer requirement. Marketing materials and oral statements do not create warranties.

The Products operate over the Internet. Customer acknowledges that viruses, unauthorized access attempts, and third-party network failures may occur. We are not responsible for those events or for failures of Customer's connectivity, identity providers, Google APIs, or other third-party services.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business, goodwill, or data, even if advised of the possibility.
  • Our total liability arising out of this Agreement will not exceed the fees paid or payable by Customer for the Product giving rise to the claim in the twelve (12) months before the event.

These limits apply regardless of the theory of liability and even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the greatest extent permitted by law.

10. Indemnification

Customer will defend and indemnify Honey House Tech against third-party claims arising from Customer's use of the Products in breach of this Agreement, Customer Data, or Customer's Google Workspace relationships, except to the extent caused by our uncured breach of this Agreement.

We will defend Customer against third-party claims that the Products, when used as authorized, infringe a United States patent, copyright, or trade secret, subject to customary notice, control, and cooperation requirements, and standard exclusions for combinations, modifications, and misuse.

11. Suspension and termination

We may suspend access immediately if we believe Customer's use threatens the Products, other customers, or us, or for non-payment. Either party may terminate for material breach not cured within thirty (30) days of written notice. On termination, Customer's access ends and we may delete Customer Data after a reasonable retention period, except where law requires longer retention.

12. Changes

We may update this Agreement by posting a revised version at wosp.app/terms and updating the "Last updated" date. Material changes will be announced by email or in-product notice when practicable. Continued use after the effective date constitutes acceptance. If Customer objects, Customer may cancel before the effective date.
